Terms & Conditions

 

1.            These terms and conditions (Conditions) apply to an opportunity to secure an investment of up to £100,000.00 in a business or business idea (Promotion) after submission of the application form (Application Form) provided with each purchased copy of the book “New Rules of Wealth” written by Ben Benson (Book) and distributed by CWI Limited (Company). By returning the Application Form, the named applicant on the Application Form (Applicant) agrees to be bound by the Conditions.

 

2.             The Company reserves the right to cancel or amend the Promotion or the Conditions without notice, in the event of any event, non-occurrence, omission or accident beyond its reasonable control and includes, in particular (without limitation), strikes, lock-outs or other industrial action, civil commotion, riot, invasion, terrorist attack or threat of terrorist attack, war (whether declared or not) or threat or preparation for war, fire, explosion, storm, flood, earthquake, subsidence, epidemic or other natural disaster, impossibility of the use of public or private telecommunications networks or any actual or anticipated breach of any applicable law or regulation.

 

3.             If any dispute should arise regarding the Conditions or any other matter relating to the Promotion, the decision of the Company shall be final and binding and no correspondence or discussion shall be entered into by the Company.

 

4.             By returning the Application Form and entering the Promotion, the Applicant warrants that all information submitted is true, up to date and complete. 

 

5.             The Company reserves the right not to consider the application of any Applicant which the Company has reasonable grounds to believe is in breach of the Conditions.

 

6.             The Promotion can only be entered once by an Applicant in respect of any single business idea no matter how many copies of the Book the Applicant purchases. If the same applicant wishes to enter the Promotion with a different business idea then further copies of the Book must be purchased in order to obtain a new Application Form.

 

7.             Applicants should retain a copy of their completed Application Form, as they will not be returned by Company.

 

Eligibility

 

8.             This Promotion is open to anyone who satisfies the following eligibility criteria:

 

8.1            the Applicant must be 18 years or older at the time of making the application.

 

8.2            the Applicant will need to provide evidence of the existence of their business along with details of their business structure or, in the case of start up businesses, an intention to trade.

 

8.3            the business should not be a subsidiary of or have subsidiaries or be part of a group of companies or businesses.

 

8.4            the Application Form must be fully completed supplying all information requested on it and such further information as the Company may at its discretion request from time to time.

 

8.5            in the case of existing businesses, they must be compliant with all applicable statutory and legal requirements in the country or jurisdiction where the Applicant resides or the business operates (as appropriate).

 

8.6            entry to this Promotion will not breach any law or regulation in the country or jurisdiction where the Applicant resides, the business operates, or the business resulting from the Applicant’s business idea originates. Where such entry will breach laws or regulations, the Company’s invitation to take part in the Promotion in such country and/or jurisdiction is withdrawn.

 

9.             The Company reserves the right to carry out such checks as the Company believes are necessary in order to confirm the eligibility of any Applicant.

 

 

Promotion Applications

 

10.            The Application Form must be received by the Company by post before 31st July 2011. The final batch of successful applicants will be published on the website at the end of August 2011. Any Application Form received after 31st July 2011 will not be considered by the Company.

 

11.            The Company will not accept proof of posting as proof of delivery. The Company will not accept responsibility for any error, omission, defect, delay, theft, destruction, or alteration of any Application Form, or any Application Form being lost, damaged or delayed as a result of causes or circumstances outside of the control of the Company.

 

12.            As the Application Forms are judged on subjective criteria, the Company and/or the Company’s nominated representative who will judge the applications (acting reasonably) reserve the right not to select an Applicant’s business or business idea and/or amend or delete any selection criteria.

 

13.            The decision of the Company’s nominated representative judging the applications shall be final and binding on the Applicant and shall not be called into question by the Applicant.

 

Successful Applications

 

14.            Each Book contains a serial number unique to the Application Form. On the final day of every second calendar month during the Promotion (which commences on 1st January 2010), the Company’s website www.millionpoundbook.com (Website) shall publish the serial number of a successful Applicant.

 

15.            Upon publication of the successful Applicant’s serial number on the Website, the successful Applicant will then have two calendar months within which to claim the investment. If the claim has not been made before the serial number of the next successful Applicant is published on the website, the successful Applicant will lose the opportunity to claim the investment.

 

16.            Claims are to be made by telephoning the Company on the number published on the Website. 

 

17.            The Company accepts no responsibility, if the successful Applicant fails to claim their investment, for any reason whatsoever, within the time limits set out in the Conditions.

 

18.            Successful Applicant’s will be offered a cash investment of up to £100,000.00 in their existing business, or business idea in exchange for the Company taking an equity share in that business or business idea. The structure and size of that equity share will be agreed between the Company and the Applicant. In the absence of such agreement there will be no obligation on the Company to proceed with the investment. 

 

19.            There is no cash alternative to the investment in the Applicant’s business or business idea and the investment is only available to the successful Applicant and only for the business or business idea outlined on the Application Form and the investment is not transferable to any third party.

 

20.            The investment by the Company in any successful Applicant’s business or business idea is subject to:

 

20.1          the Company carrying out, and being satisfied with the results, of such due diligence as it may require;

 

20.2          the successful Applicant making available to the Company all information relating to the business or business idea as the Company may request; and

 

20.3          the successful Applicant entering into, amongst other related documents, a detailed and legally binding investment or partnership agreement (as applicable to the Company and the successful Applicant’s chosen business structure).

 

Public Relations, Marketing and Data Protection

 

21.            All successful Applicants are required to make themselves available for such PR and marketing activities as the Company may request and subject to condition 23, the Company reserves the right to use in any publicity the names and addresses of the successful Applicants, their photographs and all other information relating to the successful Applicant acquired during the course of the Promotion and subsequent investment in the successful Applicant’s business or business idea.

 

22.            In consideration of the Company inviting entries to the Promotion, each successful Applicant agrees that the Company may make such use of all information relating to successful Applicants obtained during the Promotion as it thinks fit for the purposes of advertising and/or sponsorship.

 

23.            Any personal data relating to the Applicant will be used solely in accordance with Data Protection Act 1998 (as amended from time to time) and will not be disclosed to any third party without the prior consent of the Applicant. For further details refer to the Company’s privacy policy. The Company reserves the right to retain data relating to each Applicant for a reasonable period of time after the Promotion finishes.

 

Intellectual Property Rights

 

24.            The Applicant agrees to grant the Company a non-exclusive, worldwide, irrevocable licence (for the full period of any rights in the information comprised in the Application Form) to use, display, develop, modify, publish, transmit, copy, make derivative works from, edit, alter, store, re-format, sell, maintain or sub-licence the information contained in the Application Form/obtained about any Applicant during the Promotion.

 

Liability

 

25.            The Company cannot accept any responsibility for any indirect, special, punitive, exemplary or consequential losses or damages, injury or disappointment of whatsoever kind arising out of entry to the Promotion or as a result of a successful Applicant accepting investment from the Company, including loss of profit and the like whether or not in the contemplation of the parties, whether based on breach of contract, tort (including negligence), product liability or otherwise, even if advised of the possibility of such damages. Nothing shall exclude the Company’s liability under law, or for death or personal injury as a result of its negligence.

 

26.            The Company does not represent that the details relating to any aspect of the Promotion can be accessed, or are available to the Applicant on the Website outside the United Kingdom and, in particular, in the country in which the Applicant resides, or their business operates. If the Applicant accesses the Website from outside the United Kingdom they are responsible for breach of any law or regulation in the country or jurisdiction where the Applicant has accessed the Website.

27.            In running the Promotion, the Company is dedicated to equal opportunities for all irrespective of race, colour, creed, ethnic or national origins, gender, marital status, disability or age. 

 

Jurisdiction

 

28.           The Promotion and the Conditions will be governed by English law and any disputes will be subject to the exclusive jurisdiction of the courts of England.
